Purpose.
Seiko Epson Corporation ("Epson") established this EPSON Portal Program Download Site ("Site") for the purpose of helping you ("Service Partner") to provide Service Partner's customers with up-to-date and standardized technical support for EPSON products ("EPSON Products") including printer, scanner, digital steal camera and video projector, worldwide ("Purpose"). "Service Partner" means any distributors, dealers and/or cooperative service companies duly authorized by Epson or its affiliate company including Epson's sales subsidiaries ("Affiliates") (collectively "Epson Group") and also given User ID and Password by Epson Group.
Terms of License.
Epson grants Service Partner a nonexclusive, royalty-free, worldwide and limited license to download, install and use any program that Epson provides Service Partner by the Site (the "Portal Program") on any single computer or computers that Service Partner intend to use directly or via network only for the Purpose herein. Service Partner may allow other users of the computers connected to the network, who are employees of Service Partner or other companies obtaining prior consent of Epson Group ("Other Users"), to use the Portal Program provided that Service Partner (a) ensure that all Other Users agree and are bound by the terms and conditions of this Terms of Use, (b) ensure that all Other Users use the Portal Program only in conjunction with the computers and in relation to the network of which they form part, and (c) indemnify and keep Epson Group against all damages, losses, costs, expenses and liabilities which Epson Group may incur as a consequence of Other Users failing to observe and perform the terms and conditions of this Terms of Use.
Further, Epson grants Service Partner a nonexclusive, royalty-free, worldwide and limited license to (i) download, copy and deliver the Portal Program to Other Users and (ii) allow Other Users to use the Portal Program provided that Service Partner (a) ensure that all Other Users agree and are bound by the terms and conditions of this Terms of Use and (b) indemnify and keep Epson Group against all damages, losses, costs, expenses and liabilities which Epson Group may incur as a consequence of Other Users failing to observe and perform the terms and conditions of this Terms of Use.
Service Partner agrees (i) not to copy, modify, adapt and/or translate the Portal Program, (ii) not to provide the Portal Program to any other persons and/or entities except Other Users, (iii) not to permit any other persons and/or entities except Other Users to use the Portal Program, (iv) not to attempt to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Portal Program, and (v) not to rent, lease or lend the Portal Program to any other persons and/or entities. Further, Service Partner agrees not to place the Portal Program onto a server which is accessible via a public network such as the Internet.
Epson grants Service Partner a nonexclusive, royalty-free, worldwide and limited license to install and use any program that Service Partner acquires by using Portal Program ("Software") only for the Purpose herein according to the terms and conditions of the Software License Agreement (the "Software License Agreement") attached to the end of this Terms of Use.
Further, Epson grants Service Partner a nonexclusive, royalty-free, worldwide and limited license to (i)download, copy and deliver the Software to Other Users and (ii) allow Other Users to use the Software provided that Service Partner (a) ensure that all Other Users agree and are bound by the terms and conditions of the Software License Agreement and (b) indemnify and keep Epson Group against all damages, losses, costs, expenses and liabilities which Epson Group may incur as a consequence of Other Users failing to observe and perform the terms and conditions of the Software License Agreement.
The Portal Program is copyrighted, and any unauthorized use of the Portal Program may violate laws of copyright and trademark, and other laws. Service Partner agrees that Epson owns any copyright or other intellectual property right of or in connection with the Portal Program. Service Partner also agrees not to claim any intellectual property right relating to the Portal Program against Epson Group.
If Service Partner breaches any terms set forth herein, Service Partner's authorization to use this Site will automatically terminate and the Service Partner must immediately destroy the Portal Program, the Software or any printed materials related to the Portal Program and the Software. In this case Epson reserves the right to terminate Service Partner's authorization to use any services at this Site and to withdraw the User ID and Password immediately. Service Partner agrees not to bring any suit or claim against Epson Group if Service Partner cannot use this Site because of its breach of this Terms of Use.
Warranty of Portal Program.
The Portal Program on this Site is provided "AS IS" and without warranties of any kind, either express or implied. To the fullest extent permissible pursuant to applicable law, Epson disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement of any third party's intellectual property rights. Although Epson makes its best efforts to control and administer this Site, Epson does not warrant that any part of this Site will be uninterrupted or error-free that defects will be corrected, or that this Site or the server that makes it available are free of viruses or other harmful components.
Epson shall not warrant or make any representations regarding the use or the results of the use of the Portal Program in terms of their quality, correctness, accuracy, reliability, or otherwise. Service Partner (and not Epson Group) assumes the entire cost of all necessary servicing, repair, or correction for their services to be rendered by Service Partner for EPSON Products. Applicable law may not allow the exclusion of implied warranties, so the above exclusion may not apply to Service Partner.
Service Partner agrees that under no circumstances, shall Epson be liable for any special or consequential damages that result arising out of Service Partner's use of this Site and the Portal Program or inability to use this Site and the Portal Program.
Service Partner may contact Epson Group ("Contact"), which gives Service Partner User ID and Password, for questions or problems relating to the Portal Program, including any modification or correction of the Portal Program.
If Service Partner happens to know that the Portal Program infringes or allegedly infringes any third party's intellectual property right, Service Partner agrees to immediately so inform Contact. Without limiting the generality of exclusion of warranty above, and on the condition that Contact receives the infringement notification from Service Partner and acquires any necessary right to settle the problem, Epson Group will make its best efforts to settle the problem by modifying the Portal Program to not infringing the Portal Program or acquiring an applicable license in order to continue the use the Portal Program at its own cost and responsibility.
Confidentiality.
Service Partner agrees to keep the Portal Program confidential and not to use the Portal Program for any purpose other than the Purpose. Service Partner agrees to comply with the above confidentiality obligation on and after the termination of this Site. If Service Partner did not provide Service Partner's customers with the technical support for EPSON Products, Service Partner shall immediately destroy the Portal Program, the Software or any printed materials related to the Portal Program and the Software.
Service Partner agrees to immediately inform Contact if Service Partner knows that any third party uses the Portal Program without any authorization or knows the possibility of such unauthorized use of the Portal Program by any third party.
If Service Partner breaches the above confidentiality obligation, Service Partner's license granted under this Terms of Use will automatically terminate, and Service Partner agrees to destroy the Portal Program, the Software or any printed materials related to the Portal Program and the Software immediately. Service Partner also agrees not to bring any suit or claim against Epson Group if Service Partner cannot use this Site because of its breach of this Terms of Use.
No License.
Service Partner agrees that this Terms of Use does not grant Service Partner a license to use Epson's or Affiliates' trademark or trade name and any rights of the Portal Program unless set forth in this Terms of Use or unless Epson Group separately grants Service Partner such license under the Technical Support Agreement or other similar license agreement.
Password Policy.
Service Partner agrees to keep its Password confidential and not to disclose to nor have it used by any third party. Service Partner also agrees not to use any other Service Partner's User ID and Password. Service Partner may disclose User ID and Password solely to those officers, employees and contract employees only for the Purpose and on a need-to-know basis. Service Partner agrees, at its own responsibility, to have those officers, employees and contract employees comply with confidentiality obligations set forth in this Terms of Use.
Service Partner agrees to immediately inform Contact if Service Partner knows that any third party uses unrightfully User ID and Password or knows the possibility of such unauthorized use of User ID and Password by any third party. Epson Group may change Service Partner's Password in Epson Group's sole discretion in the case that Epson Group assumes that the Password has a risk of leak to or knowing by any third party.
Service Partner agrees that Epson Group may withdraw User ID and Password if Service Partner
(1) uses this Site and the Portal Program in excessive of the scope licensed under this Terms of Use,
(2) breaches the confidentiality obligation set forth in this Terms of Use,
(3) uses User ID and Password or disclose User ID and Password to any third party unrightfully,
(4) breaches the terms and conditions of this Terms of Use,
(5) terminates the Technical Support Agreement, or
(6) otherwise performs unrightfully when using this Site and/or the Portal Program and Epson Group reasonably decides to have Service Partner stop using this Site and the Portal Program.
In the case that Epson Group withdraws Service Partner's User ID and Password, Service Partner shall immediately destroy the Portal Program, the Software or any printed materials related to the Portal Program and the Software.
Service Partner agrees not to bring any suit or claim against Epson Group, if Service Partner suffers losses or damages that arise out from such discontinuation of using this Site.
Termination.
Epson Group reserves the right to terminate to render service through this Site at any time without notice and without cause. Service Partner agrees not to bring any suit or claim against Epson Group if Service Partner may not access this Site and not receive any technical support, and Service Partner may suffer losses or damages that arise out from such termination of this Site. Upon termination or discontinuation, Service Partner must destroy all documentation obtained through this Site including the Portal Program and any kind of materials relating to the Portal Program.
Amendment.
Epson retains the right to amend this Terms of Use from time to time, and Service Partner's continued use of this Site and the Portal Program constitutes Service Partner's acceptance of such amendments. If Service Partner finds changes in these terms in some way that are unacceptable, Service Partner agrees to discontinue the use of this Site and the Portal Program.
Export Controls.
Service Partner agrees not to transfer, export or re-export the Portal Program and any data or information which Service Partner obtained from Epson nor use the Portal Program without a proper license under Japanese law, restrictions and regulations, or the laws of the jurisdiction in which the Portal Program is obtained.
Governing Law.
Service Partner agrees that this Terms of Use shall be governed by the laws of Japan and if any disputes, controversies or differences occur between Epson Group and Service Partner in relation to or in connection with the use of this Site, the Portal Program and the Software, such disputes, controversies or differences shall be finally settled by arbitration in Tokyo, Japan, in accordance with the Commercial Arbitration Rules of The Japan Commercial Arbitration Association.
Software License Agreement
Notice to User: This is a legal agreement between you (an individual or single entity, referred to hereinafter as "you") and Seiko Epson Corporation ("Epson") for computer software product, fontware, typefaces and/or data, including any accompanying explanatory written materials (the "Software"). BEFORE DOWNLOADING, INSTALLING, COPYING OR OTHERWISE USING THE SOFTWARE, YOU MUST AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT.
1. License.
Epson grants you a non-exclusive limited license to use the Software on any single computer or computers that you intend to use directly or via network. You may allow other users of the computers connected to the network, who are employees of you or other companies obtaining prior consent of Epson Group ("Other Users"), to use the Software, provided that you (a) ensure that all Other Users agree and are bound by the terms and conditions of this Agreement, (b) ensure that all Other Users use the Software only in conjunction with the computers and in relation to the network of which they form part, and (c) indemnify and keep Epson Group against all damages, losses, costs, expenses and liabilities which Epson Group may incur as a consequence of Other Users failing to observe and perform the terms and conditions of this Agreement. The term "Software" shall include the software components, media, and any upgrades, modified versions, updates, additions of the Software licensed to you by Epson. Epson reserve all rights not granted. The term "Epson Group" shall Epson or its affiliate company including Epson's sales subsidiaries.
Further, Epson grants you a nonexclusive, royalty-free, worldwide and limited license to (i)download, copy and deliver the Software to Other Users and (ii) allow Other Users to use the Software provided that you (a) ensure that all Other Users agree and are bound by the terms and conditions of this Software License Agreement and (b) indemnify and keep Epson Group against all damages, losses, costs, expenses and liabilities which Epson Group may incur as a consequence of Other Users failing to observe and perform the terms and conditions of this Software License Agreement.
2. Other Rights and Limitations.
The Software is licensed as a single unit, and its component programs may not be separated. You agree to use the Software only for the purposes of adjustment of the Epson's printer products conducted by Epson Group and/or Epson's authorized after service providers. You agree (i) not to copy, modify, adapt and/or translate the Software, (ii) not to provide the Software to any other persons and/or entities except Other Users, (iii) not to permit any other persons and/or entities except Other Users to use the Software, (iv) not to attempt to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software, and (v) not to rent, lease or lend the Software to any other persons and/or entities. Further, you agree not to place the Software onto a server which is accessible via a public network such as the Internet.
3. Ownership.
Title, ownership rights, and intellectual property rights in and to the Software shall remain with Epson. The Software is protected by international copyright treaties, as well as other intellectual property laws and treaties. There is no transfer to you of any title to or ownership of the Software and this License shall not be construed as a sale of any rights in the Software. You agree not to remove or alter any copyright, trademark, registered mark or other proprietary notices on the Software. Epson reserve all rights not granted. You should discontinue the use of the Software and destroy the Software (i) upon the termination this Agreement, (ii) upon Epson's requirement to do so, and (iii) when it comes unnecessary to use the Software.
4. Warranty Disclaimers.
You acknowledge and agree that the use of the Software is at your own risk. THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT ANY WARRANTY OF ANY KIND. EPSON DO NOT AND CANNOT WARRANT THAT THIS SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR FREE. EPSON MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. Because some states and jurisdictions do not allow the exclusion or limitation of implied warranties in certain circumstances, the above limitations may not apply to you.
5. Limitation of Liability.
IN NO EVENT WILL EPSON BE LIABLE TO YOU, WHETHER ARISING UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OR WARRANTY, MISREPRESENTATION OR OTHERWISE, FOR ANY DIRECT, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF EPSON OR ANY REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. In no event shall Epson's liability for any damages, regardless of the nature of the claim, exceed the amount paid by you for the Software or ten dollars ($10.00) whichever is greater. Because some states and jurisdictions do not allow the exclusion or limitation of liability in certain circumstances, the above limitation may not apply to you.
6. Confidentiality.
During the effective period of this Agreement and thereafter you shall hold in confidence any and all things relating to this Agreement and any and all data and information regarding the Software that has come to your knowledge from using the Software.
7. Term and Termination.
Without prejudice to any other rights Epson has, this Agreement shall automatically terminate upon failure by you to comply with its terms. You may also terminate this Agreement at any time by destroying the Software.
8. U.S. Government Restricted Rights.
If you are acquiring the Software on behalf of any unit or agency of the United States Government, the following provisions apply. The Government agrees:
(i) if the Software is supplied to the Department of Defense (DoD), the Software is classified as "Commercial Computer Software" and the Government is acquiring only "restricted rights" in the Software and its documentation as that term is defined in Clause 252.227-7013(c)(1) of the DFARS; and
(ii) if the Software is supplied to any unit or agency of the United States Government other than DoD, the Government's rights in the Software and its documentation will be as defined in Clause 52.227-19(c)(2) of the FAR or, in the case of NASA, in Clause 18-52.227-86(d) of the NASA Supplement to the FAR.
9. Export Restriction.
You agree that the Software will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations.
10. Governing Law and General Provisions.
This Agreement shall be governed and construed under the laws of Japan, without regard to its conflicts of law rules. This Agreement is the entire agreement between the parties related to the Software, and supersedes any purchase order, communication, advertisement, or representation concerning the Software. This Agreement shall be binding upon, and inure to the benefit of, the parties hereto and their respective successors, assigns and legal representatives. If any provision herein is found void or unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. This Agreement may only be modified in writing signed by an authorized officer of Epson. |
